Kualifikasi Pelamar

Bachelor of Laws degree from a recognised university, preferably one with a strong academic reputation. Master qualification is a plus.
Minimum 8–10 years of relevant legal experience, ideally gained through a combination of a leading Indonesian or international law firm and an in-house legal role in investment organization/company.
Strong experience in corporate, banking and finance, capital markets, M&A, private equity, principal investments or other complex commercial transactions.
Experience advising on cross-border transactions and coordinating counsel and stakeholders across multiple jurisdictions.
Strong understanding of Indonesian corporate, investment and regulatory requirements.
Experience working with investment teams, financial institutions, multinational companies, government-linked entities or sophisticated institutional investors would be an advantage.
Demonstrated experience advising on complex transactions and regulatory matters, including assessing legal risks, prioritising material issues and developing commercially workable solutions.
Proven ability to lead legal workstreams independently, manage external counsel and cross-functional stakeholders, and present clear recommendations to senior management.
Strong drafting, negotiation, project-management and stakeholder-management skills.
Ability to synthesise complex legal and commercial information and communicate key issues clearly and concisely
Excellent written and verbal communication skills in Bahasa Indonesia and English.

We are seeking an experienced and commercially minded Legal Counsel to join Jardine Matheson’s new regional office in Indonesia.

Reporting to the Country Head of Indonesia, the Legal Counsel will provide legal and strategic support across Jardine Matheson’s activities in the market. The role will have a broad remit covering corporate and commercial matters, investments and financing transactions, capital markets, portfolio company support, governance and engagement with government and other key stakeholders.

As part of a lean and growing team, the Legal Counsel will be expected to operate independently, take ownership of legal workstreams of the Indonesia office and work closely with the Hong Kong office, portfolio companies, external counsel and other stakeholders. The successful candidate will also play an important role in establishing the legal processes, governance framework and ways of working for the Indonesia office.

The role requires strong legal and commercial judgment, the ability to identify and prioritise material issues, and the confidence to provide practical advice in complex and evolving situations.

Key Responsibilities

Corporate, Governance & Commercial Matters

Advise the Indonesia office on corporate, governance, regulatory and commercial matters arising from Jardine Matheson’s activities in Indonesia.
Support the establishment and ongoing operation of the Indonesia office, including the development of appropriate legal processes, policies, delegations and governance arrangements.
Review, draft and negotiate commercial agreements, corporate documentation, shareholder resolutions, delegations of authority and other legal instruments.
Advise on shareholder rights, board and shareholder matters, reserved matters and other governance issues involving portfolio companies.
Monitor relevant legal and regulatory developments in Indonesia and assess their implications for Jardine Matheson and its portfolio companies.

Investments, Financing & Capital Markets

Provide legal support for acquisitions, disposals, joint ventures, strategic investments, financings, restructurings and other corporate transactions.
Work closely with the investment team on transaction structuring, due diligence, risk assessment, documentation, negotiation, execution and closing.
Advise on capital markets and financing matters, including debt and equity transactions, syndications, shareholder funding and other funding arrangements.
Identify material legal and regulatory risks and provide clear, commercially focused recommendations to support decision-making.
Coordinate external counsel across Indonesia and other jurisdictions, ensuring that advice is practical, proportionate and aligned with the commercial objectives of the business.

Portfolio Company & Strategic Support

Support shareholder engagement with portfolio companies on governance, transactions, financing, regulatory and other material legal matters.
Work with portfolio company management and legal teams to understand key legal and regulatory risks and assist in developing practical solutions.
Support strategic reviews, corporate actions, restructurings and other initiatives involving Jardine Matheson’s businesses in Indonesia.
Prepare legal briefings, risk assessments and recommendations for the Country Head, senior management and other internal stakeholders.

Government & Stakeholder Engagement

Support engagement with government authorities, regulators, state-owned enterprises and other key stakeholders in Indonesia.
Advise on the legal and regulatory aspects of government-facing initiatives, licences, approvals and strategic partnerships.
Work with internal teams and external advisers to ensure that stakeholder engagement is appropriately structured, documented and aligned with Jardine Matheson’s governance and compliance standards.
Build effective working relationships with regulators, external counsel, advisers, counterparties and other relevant stakeholders.

Legal Function & Office Development

Help establish the legal function, operating model and ways of working for the Indonesia office.
Develop templates, policies, approval processes and matter-management practices that support efficient and consistent legal execution.
Manage legal budgets and external counsel relationships, including scope, fee arrangements, performance and work allocation.
Take ownership of legal workstreams and deliverables in a hands-on and self-directed manner.
Coordinate with Jardine Matheson’s legal, compliance, company secretarial and other functions in Hong Kong and across the Group.
